You do not buy a hotel for its rooms. You buy it for the guests who come back.

What matters
Taking over a hotel in Mallorca means carrying on a place that has grown. That takes a careful look.
01
Besides classic city and beach hotels, buyers mostly look for finca hotels, agroturismos and small rural hotels. Often in historic buildings, with land, pool and restaurant. Every business has its own licence and its own story.
02
In the Balearic Islands tourist places are limited and tied to licences. What matters is the category of the business, how many places are approved and whether the licence can be transferred. We check this with specialised lawyers before things get serious.
03
A takeover is not only about buildings. It is about bookings, contracts, staff and running costs. We look at the figures with you and your advisers, and at what is realistic.
Look at the company too
Sometimes the sale concerns the entire company operating the hotel rather than the building itself, for example a Sociedad Limitada (S.L.). You acquire all the shares. This share deal can offer opportunities, but it also calls for a close look at the company's full history. These notes offer general guidance and do not replace legal or tax advice on a specific purchase.
01
The operator and the property owner are not always the same company. If the S.L. owns the building, it remains the owner after the share purchase. If the hotel is leased, buying the shares does not automatically mean buying the property. Ownership, lease duration, renewal rights and the precise scope of the business all need checking.
02
The company continues to exist. This can make it easier to carry on with the team, bookings and established business relationships. Financing, lease, management and brand agreements still need checking for change of control clauses. Any notification or consent requirements relating to licences and tourism registration must also be clarified. A share purchase does not replace these checks.
03
Existing obligations remain with the company too. These may include additional tax assessments, social security liabilities, loans, guarantees, disputes and guest claims. Such historical liabilities can affect the value of your shares and the business's liquidity. This does not automatically make you personally liable for every company debt.
04
Specialist advisers should carry out legal, tax, financial and technical due diligence before the purchase. This should also cover shareholder loans, guest deposits, required investment and actual trading performance. Your advisers should negotiate the price, warranties, indemnities for specific historical liabilities and, where appropriate, a secured retention of part of the price. Liability caps, time limits and the seller's ability to pay matter too. A share deal is not automatically the more tax-efficient option.
Frequently asked questions
An agroturismo is a tourism business on a rural estate, usually in a traditional building and with a link to agriculture. It needs its own licence and is subject to specific rules.
In many cases yes, but not automatically. It depends on the type of licence, the approved places and the condition of the property. We clarify this with our partners for every property individually.
Licence and category, permits for all buildings, technical substance, water and energy, and the business side: bookings, staff and running costs.
In a pure share purchase, the S.L. generally remains the same employer and employment relationships continue. Buying the business rather than the shares may instead trigger business transfer rules. Employment lawyers should review the structure, existing obligations and any planned changes in advance.
Very discreet. Many hotels are not offered publicly so that guests and team are not unsettled. We share details personally once we have got to know each other.
Not necessarily. Buying all the shares means acquiring the company rather than individual assets directly. If the company owns the hotel building, ownership remains with it. If it operates under a lease, the property stays with the landlord. Ownership and lease terms therefore need a separate review.
They do not disappear when the shareholders change. Existing obligations and those discovered later generally remain with the company and can affect your investment. Thorough due diligence and suitable warranties, indemnities and security in the purchase agreement help identify and allocate risk. They do not eliminate third-party claims against the company.
